What is the intended use?
Ask whether the proposal concerns training, evaluation, retrieval, a particular application or another purpose. Which organisations may use the material, and may it be shared onward? Is the permission limited to a specified use or broader? A general statement about “AI” is not a complete description of the licence.
Exactly what is included?
Define the period, systems, projects and kinds of records. Agree exclusions and the handling of third-party material, confidential information and personal information. Ask whether updates are expected and whether exclusivity would restrict other uses by your company. Involve the people able to assess the relevant rights.
How will review and preparation work?
Clarify what, if anything, can be reviewed before agreement, who receives it and under what safeguards. Ask who prepares material, who verifies any redaction or anonymisation, who bears the cost and how acceptance is decided. How are commercial terms defined?
Ask whether payment is one-off, recurring or conditional on milestones. Clarify acceptance criteria, payment dates, expenses, taxes and any obligations tied to future delivery. A quoted headline figure can mean very different things depending on the scope and conditions. The company profile does not establish an offer.
What happens after the agreement ends?
Discuss retention, deletion, continuing permissions, security incidents and remedies. Ask how termination affects records already supplied and any models or outputs produced from them. Have the proposed terms reviewed for your circumstances; do not assume all effects of a completed use can be reversed.
